Thank you for agreeing to be a presenter and/or provide materials with regard to a continuing legal education (“CLE”) program presented by the Women’s Bar Association of the State of New York, and/or by one or more of its Chapters (hereinafter collectively “WBASNY”) (the “CLE Program”).  

It is our mutual understanding that as a presenter, you will speak at and/or prepare or compile certain material (the “Work”) for the CLE Program.  

WBASNY agrees to use and publish your name and affiliations, and such other personal and professional information as you provide and which WBASNY deems reasonably appropriate in connection with the CLE Program.  In consideration for this, you hereby grant to WBASNY the nonexclusive license to (a) record and/or reproduce your name, likeness and voice on audio or videotape, film or other media for reproduction and transmit same for viewing of the CLE Program, (b) use, publish, distribute and promote the Work and (c) further use your name, likeness, voice and biographical or other information, as well as any other material provided by you in relation to the Work or the Presentation, to publicize, display, exhibit, distribute, broadcast, and advertise the CLE Program and Work, but not for the endorsement of any product or service other than the CLE Program.

In some cases, WBASNY may wish to segment, or otherwise modify the CLE Program and Work related to certain portions of the CLE Program (for example, to segment a two-credit CLE presentation into separate, one-credit CLE presentations).  You hereby agree to modification of any recording of the CLE Program and segmenting/modification of the Work, provided that WBASNY notify you of its intention and receive your prior approval, which approval shall not be unreasonably withheld.  

WBASNY must ensure that the information and materials provided by presenters and distributed by WBASNY in relation to CLE programs do not infringe the rights of third-parties.  Therefore, you warrant and represent that (i) you own all rights, including, without limitation, the copyright, if any, in the Work, or that you have obtained all licenses, permissions and clearances necessary to grant to WBASNY the license set forth herein and (ii) the Work and any presentation made by you during the CLE Program, will not contain any libelous, obscene or otherwise unlawful material, will not infringe any intellectual property or other right of a third-party, and will not contain instruction that, to the best of your knowledge, is inaccurate or injurious to the recipient of such instruction.
